Introduction and Acceptance

Welcome to Ali Karbasi's web services. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Ali Karbasi ("Service Provider," "we," "us," or "our"), operating through https://alikarbasi.com. By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Services & Access Restrictions

Ali Karbasi provides web design, hosting, and cloud storage solutions. Customers do not have full administrative access to manage these services; instead, they can view relevant information via our CRM portal at https://crm.alikarbasi.com.

Uptime Guarantee

We guarantee 99% uptime for Starter and Standard plans and 99.99% uptime for the Supreme plan. If downtime occurs due to issues within our control, we will extend the hosting period to compensate for lost time on a day-for-day basis. This does not apply to scheduled maintenance, force majeure events, or issues caused by client content or configuration.

Payment & Refund Policy

• Hosting & Services: 30% payment required upfront before service activation.
• Web Design: 50% deposit required before development begins, 20% payment required before final publication.
• Refunds: Generally not available due to the nature of digital services. However, if a client cancels within 24 hours of paying the 50% development deposit and before any design or development work has begun, we will refund the 50%. The initial 30% hosting/setup fee is non-refundable as it covers administrative costs and resource allocation.

Content Restrictions & Acceptable Use Policy

Users may not host, store, transmit, or distribute:

• Copyrighted content without proper authorization from the rights holder.
• Illegal materials or activities that violate applicable laws.
• Adult content, including pornographic or sexually explicit material.
• Malware, viruses, or harmful code.
• Content promoting harassment, hate speech, or violence.
• Phishing sites, scams, or fraudulent activities.
• Spam or unsolicited bulk messages.

Ali Karbasi reserves the right to review content if complaints are received or suspicious activity is detected. Violation of this policy may result in immediate suspension or termination of services without refund, and illegal activity may be reported to appropriate authorities.

Account Suspension & Termination

• Accounts may be suspended for non-compliance with these Terms, violation of the Acceptable Use Policy, abusive behavior, non-payment, or activities that compromise server security or stability.
• We provide a 7-day renewal notice before the due date via the email address associated with your account. It is your responsibility to ensure we have your current contact information.
• If payment is not received by the due date, the service will be suspended immediately.
• Upon suspension, all files stored on our servers will be archived, encrypted, and securely stored offline, and then permanently removed from our production servers.
• If the account holder makes payment after suspension and deletion, the archived backup will be provided to them. If they request Ali Karbasi to restore the backup to our servers, additional restoration fees will apply based on the complexity and size of the project.
• For late payments, a penalty equal to 10% of the monthly maintenance fee will be charged for each full or partial month of delay. This penalty covers administrative costs and the secure offline storage of the project backup until payment is received.
  For example, if the monthly maintenance fee is €100 and payment is delayed for 3 months, the penalty will be €30. No additional monthly maintenance fees will be charged for the suspension period, as services are not provided during that time.
• We will retain your encrypted backup for a maximum of 90 days after suspension. After this period, if payment has not been received, your data may be permanently deleted.

Intellectual Property Rights

You retain all ownership rights to content you provide. By using our services, you grant us a limited license to host, store, and display your content solely for the purpose of providing services to you. Upon receipt of full payment for web design services, you will own the final website design and content created specifically for you. However, we retain rights to any pre-existing code libraries, frameworks, or reusable components used in development. All proprietary systems, software, infrastructure, and processes used to deliver our services remain the exclusive property of Ali Karbasi.

Data Protection and Privacy

We implement appropriate technical and organizational measures to protect your data. Our collection and use of personal information is governed by our Privacy Policy. You are responsible for ensuring your use of our services complies with applicable data protection laws. You are also responsible for maintaining your own backups of critical data.

Liability & Disclaimers

Our services are provided "as is" and "as available." Ali Karbasi is not responsible for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; service interruptions beyond our reasonable control; data loss due to force majeure events, cyber attacks, or third-party actions; or specific business results from using our web design and hosting services. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Ali Karbasi from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from your violation of these Terms, your violation of any law or third-party rights, content you provide, or unauthorized use of services through your account.

Changes to Terms & Contact Information

Ali Karbasi reserves the right to update these Terms at any time. For material changes, we will provide notice through email or a prominent notice on our website at least 30 days before the changes take effect.
